1. Acceptance of Terms
By accessing or using DocFlow's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services. The terms "we," "us," or "our" refer to DocFlow. The term "you" refers to the user or viewer of our platform.
2. Use License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use our platform and services for your internal business purposes. This license includes:
- The right to create, edit, and manage documents using our platform
- The right to use e-signature features for legitimate business purposes
- The right to access our templates and tools as permitted by your purchased credits
- The right to generate API keys for integration purposes (where applicable)
This license is personal to you and may not be sublicensed, assigned, or transferred to any third party without our prior written consent.
3. Credits and Billing
DocFlow uses a credits-based system (V2 billing model). Key aspects of this model:
- One-Time Purchases: Credits are purchased as one-time transactions, not subscriptions. Each credit pack grants you a specified number of document processing credits.
- Credit Validity: Purchased credits are valid for 30 days from the date of purchase. Unused credits expire after this period.
- No Recurring Charges: We do not automatically charge your payment method on a recurring basis. You choose when to purchase additional credit packs.
- Credit Consumption: Different operations consume different amounts of credits based on complexity and processing requirements.
Payment Processor: All payment processing is handled by Waffo Pancake ("Waffo"), our designated payment service provider and Merchant of Record. Your payment information is collected and processed directly by Waffo pursuant to its terms of service and privacy policy. DocFlow does not store your full payment card information on our servers.
4. AI-Generated Content Disclosure
DocFlow may use artificial intelligence and machine learning technologies to provide certain services, including document processing, analysis, and generation features. When AI-generated content is used:
- AI-generated content is provided as a tool to assist document creation and is subject to human review and approval
- You are responsible for reviewing and validating any AI-generated content before using it in official or legally binding documents
- AI features may produce inaccurate, incomplete, or biased outputs; DocFlow does not guarantee the accuracy or reliability of AI-generated content
- You retain full ownership of all documents and content created using our platform, including those assisted by AI
5. Content Moderation
DocFlow employs content moderation measures to ensure platform safety and compliance. By using our services, you agree that:
- All documents and content uploaded or created through our platform are subject to automated scanning and review
- We reserve the right to flag, restrict, or remove content that violates our Acceptable Use Policy or applicable laws
- Content moderation decisions are made at our sole discretion, taking into account safety, legality, and compliance considerations
- We may suspend or terminate accounts found to be in violation of content standards without prior notice
Prohibited Content: You may not create, upload, or process content that falls into any of the following categories:
- Content related to child sexual abuse, exploitation, or inappropriate contact with minors
- Content that promotes, facilitates, or enables violence, terrorism, or serious physical harm to individuals or groups
- Content that encourages, depicts, or glorifies self-harm or suicide
- Content that is defamatory, hateful, or promotes discrimination based on protected characteristics
- Sexually explicit content, pornography, or non-consensual intimate imagery
- Fraudulent, deceptive, or misleading content, including scams and counterfeit documents
6. Disclaimer
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement of intellectual property rights
- Accuracy, reliability, or completeness of content or services
We do not warrant that the services will be uninterrupted, secure, or error-free. We are not responsible for any content created or shared using our platform.
7. Limitations
IN NO EVENT SHALL DOCFLOW, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
- Loss of profits, revenue, data, or business opportunities
- Business interruption or loss of information
- Costs of substitute services or goods
- Any damages arising from reliance on content or information obtained through our services
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE.
8. Account Terms
To use our services, you must create an account. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Providing accurate and complete information during registration
- Complying with all applicable laws and regulations
We reserve the right to suspend or terminate accounts that violate these terms or engage in prohibited activities.
9. Intellectual Property
You retain ownership of all content, including documents and data, that you create or upload to our platform. By using our services, you grant us a limited license to host, store, and process your content solely for the purpose of providing our services to you.
DocFlow and its associated logos, designs, and branding are the exclusive property of DocFlow. You may not use our trademarks or branding without our prior written permission.
Any feedback, suggestions, or ideas you provide regarding our services become our property and may be used without compensation or obligation to you.
10. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including but not limited to:
- Breach of these Terms of Service
- Violation of applicable laws or regulations
- Fraudulent or illegal activities
- Non-payment of fees or charges
- Extended period of inactivity
Upon termination, your right to use the services will cease immediately. We may retain certain information as required by law or for legitimate business purposes.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which DocFlow operates, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of that jurisdiction.
